Band Maker Pro Terms of Use

1. Purpose

These Terms of Use govern access to the Band Maker Pro website and mobile application and the use of their features.

Band Maker Pro is a platform intended in particular for musicians, singers, bands and people working in the music or events sectors. Depending on the features available, it allows users to create a profile, search for members, form and manage bands, organise calendars, exchange messages, create repertoires and setlists, and view or publish chord charts.

The commercial terms applicable to paid plans are set out in the Terms of Sale and Subscription.

2. Publisher and contact details

Band Maker Pro is published by Serge Louis ROBOLY, a French sole trader, whose full details appear in the Legal Notice.

3. Acceptance and enforceability

Creating an account and using Band Maker Pro constitute acceptance of these Terms of Use. Users must be able to view and save them.

These terms are drafted in French and may be made available in several languages to facilitate understanding. If there is any discrepancy in interpretation between a translation and the French version, the French version shall prevail, subject to any mandatory provisions applicable to the user or consumer, including those of their country of habitual residence where applicable.

4. Registration, age and account

Users undertake to provide accurate, up-to-date and non-misleading information. They must keep their login details confidential and promptly report any unauthorised use of their account.

The account is personal. It may not be sold, transferred, lent or used to impersonate another person.

Band Maker Pro is not intended for children under the age of 15. Where a minor is permitted to use the service, they declare that they have obtained the consent of their legal representative whenever such consent is required. General rules governing the legal capacity of minors remain applicable.

5. Profiles and published content

Users remain responsible for the text, images, photographs, files, messages, advertisements, musical information and other content they publish or transmit.

They warrant that they hold the necessary rights and permissions and must not publish content that is unlawful, misleading, defamatory, discriminatory, hateful, violent, sexually explicit or that infringes privacy, copyright, trademarks or any other third-party right.

For the period necessary to operate the service and worldwide, users grant Band Maker Pro a non-exclusive, royalty-free authorisation strictly limited to hosting, technically reproducing, displaying and transmitting their content within the features they use. This authorisation does not transfer ownership of their content to Band Maker Pro.

6. Chord charts and community contributions

Chord charts published in community areas may be viewed and used by other members through the features provided by Band Maker Pro, including the Songbook, favourites, repertoires and setlists.

Users must publish only original contributions, royalty-free material, material in the public domain or material for which they hold the necessary permissions. Band Maker Pro may remove or make unavailable a contribution that is the subject of a sufficiently substantiated complaint.

When a user adds a chord chart published in the Songbook to their favourites, Band Maker Pro creates an independent copy associated with that user's account. Subsequent deletion of the original chord chart or its creator's account does not result in the deletion of copies previously saved in other users' favourites.

For as long as such a copy remains unmodified, it retains attribution to the original creator's username. If the original creator deletes their account, retained copies are disassociated from that account and the attribution is anonymised using the wording “Deleted user”.

If the holder of a copy modifies it, it becomes a modified version associated with their own account and username. This association does not transfer to them any rights that may subsist in the musical work, lyrics, composition or an earlier contribution, nor does it confer on them the status of exclusive author of those elements.

This clause does not restrict any mandatory rights relating to personal data, copyright or the removal of unlawful content.

7. Messaging, bands and relationships between members

Messaging, band, calendar and invitation tools must be used fairly and respectfully. Harassment, threats, unsolicited mass solicitation, the transmission of malicious software and the automated collection of other members' data are prohibited in particular.

Band Maker Pro provides networking and organisational tools but is not a party to any commitments, services, artistic collaborations, remuneration arrangements or disputes between users. Each member remains responsible for their decisions, meetings and transactions.

8. Availability and development of the service

Band Maker Pro endeavours to ensure the availability and security of the service but does not guarantee that it will be entirely free from interruptions, errors or data loss. Maintenance, updates, technical incidents or security constraints may cause temporary unavailability.

Features may change for technical, legal, security-related reasons or to improve the service. Any material change affecting a paid subscription is handled in accordance with the Terms of Sale and Subscription and applicable mandatory rules.

9. Account suspension and closure

Band Maker Pro may warn a user or restrict, suspend or close an account in the event of a breach of these Terms of Use, a security threat, fraud, unlawful use or a serious risk to members or the platform. Except in an emergency, where legally required or in particularly serious circumstances, the user is informed of the reason and may submit their observations.

Closing an account does not extinguish obligations that arose beforehand and does not affect statutory requirements to retain certain data.

10. Liability

Band Maker Pro is liable within the limits laid down by law. Nothing in these Terms of Use excludes or limits liability where such exclusion or limitation is prohibited by law.

Band Maker Pro is not responsible for users' content or conduct or for the failure to perform an agreement entered into directly between users. Users must take appropriate precautions before any meeting, collaboration or transaction.

11. Personal data

The processing of personal data is described in the Band Maker Pro Privacy Policy, which sets out in particular the purposes, legal bases, recipients, retention periods and data subjects' rights.

12. Changes to the Terms of Use

These Terms of Use may be amended to reflect legal, technical or functional developments. Users will be informed in advance of material changes where required by law or by the nature of the change.

13. Governing law and dispute resolution

These Terms of Use are governed by French law, without depriving users or consumers of any mandatory protections available to them under the law applicable to their situation.

Before taking legal action, the parties are invited to seek an amicable solution in writing by contacting contact@bandmakerpro.com. Consumers also have the rights and means of redress described in the Terms of Sale and Subscription.
