Band Maker Pro Terms of Sale and Subscription

1. Identity of the professional

Band Maker Pro is published by Serge Louis ROBOLY, a French sole trader registered with the Nice Trade and Companies Register under number 488 497 736 R.C.S. Nice.

2. Scope

These Terms of Sale govern the trial periods, subscriptions and paid services offered to Band Maker Pro users. They supplement the Terms of Use.

The consumer acknowledges having had the opportunity to review these Terms of Sale, the essential characteristics of the service, its price, billing frequency and available payment methods before confirming the order.

3. Free trial period

From the date on which their account is created, the user benefits from a three-month free trial period, without being required to provide a payment method during registration.

When this period expires, some features may be restricted unless the user has an active subscription or complimentary access granted by Band Maker Pro. The end of the trial does not trigger any automatic charge if the user has not taken out a subscription.

4. Plans and prices

Band Maker Pro offers monthly and annual plans. The total price, currency, billing frequency, any applicable taxes and the characteristics of the selected plan are displayed before payment is confirmed and take precedence over any earlier general presentation.

Prices may vary according to country, currency, billing frequency and eligibility for a promotional offer.

Band Maker Pro reserves the right to change its subscription prices. Any price change applicable to an ongoing subscription will be communicated to the subscriber by email or another durable medium at least thirty days before it takes effect.

The new price will apply only from the first billing period renewed after its effective date. It will not change the price of a subscription period that has already been paid for, and no additional amount will be charged for that period.

If the subscriber does not accept the new price, they may cancel the automatic renewal of their subscription before that price applies. They will retain access until the end of the period already paid for. Unless the subscription is cancelled before the relevant renewal, it will renew at the previously announced new price, subject to any applicable mandatory provisions.

New prices may apply immediately to new subscriptions, provided that the price, currency, billing frequency and any applicable taxes are clearly presented to the user before the order is confirmed.

5. Order and formation of the contract

The user selects a plan and is then directed to Stripe’s secure interface. The subscription contract is formed once the order has been confirmed and Stripe has confirmed the relevant payment or authorisation.

A confirmation summarising the subscription is made available or sent on a durable medium. The user must ensure that their email address is accurate.

6. Payment

Payments are processed by Stripe. Band Maker Pro does not retain complete bank card details. Stripe may store a payment method in order to process authorised renewals, in accordance with its own terms and security rules.

If a payment fails, Stripe may make further attempts. Access may be restricted or suspended if the amount due is not paid, without prejudice to the user’s statutory rights.

7. Term and automatic renewal

The subscription is taken out for the selected monthly or annual billing period. Unless cancelled, it renews automatically at each due date for a period of the same duration, at the applicable price communicated to the user.

The end date of the current period is displayed in the user’s profile. The user must be informed of the renewal terms in accordance with the applicable provisions of French consumer law.

8. Cancellation of renewal

The user may cancel automatic renewal from their Band Maker Pro profile using a clearly identifiable feature. The request is forwarded to Stripe and confirmed to the user on a durable medium, together with its effective date.

Cancellation takes effect at the end of the period already paid for. Premium access remains active until that date and no further charge will be made thereafter. Unless otherwise provided by a statutory right or in the event of non-performance attributable to Band Maker Pro, a subscription period that has already begun will not be refunded solely because its renewal has been cancelled.

9. Early Supporter offer

The Early Supporter offer is reserved for the first 200 accounts to which Band Maker Pro assigns such eligibility. Historical eligibility remains recorded in the account, and the place remains permanently counted among the 200 even if the price offer is not used, expires or the subscription is cancelled. An allocated place is not made available again.

An eligible user may activate the Early Supporter price during their three-month trial period and for thirty days after the end of that period. If no subscription is taken out before that deadline, the price advantage becomes permanently unavailable, without removing the user’s historical Early Supporter status.

When activated within that period, the Early Supporter price advantage is maintained for as long as the corresponding subscription continues without interruption. This advantage guarantees access to a preferential price compared with the comparable standard price then offered by Band Maker Pro; however, it does not guarantee a fixed or unchanging amount throughout the subscription.

The amount of the Early Supporter price may therefore change under the same advance-notice, effective-date and cancellation conditions set out in Article 4. A change will never apply to a period that has already been paid for. An Early Supporter subscriber who does not accept the new amount may cancel renewal before it applies and will retain access until the end of the paid period.

Disabling renewal does not change the price or access during the period already paid for. Once the subscription has actually ended, the advantage is deemed to have been permanently used and does not apply to a new subscription, which will be offered at the standard price then in force.

Early Supporter eligibility is personal, non-transferable, non-exchangeable and may not be assigned to another account.

10. Right of withdrawal

Where the user is acting as a consumer and French or European law applies, they are in principle entitled to withdraw from the contract within fourteen days from its conclusion without having to give a reason.

If the user expressly requests that the service begin before the end of that period and subsequently exercises their right of withdrawal, they may be required to pay an amount proportionate to the service supplied up to the time at which they communicate their decision, under the conditions provided by law.

The standard form available on the “Right of Withdrawal” page may be sent to contact@bandmakerpro.com. The right may also be exercised by any unambiguous statement. This section does not restrict any more favourable mandatory right.

11. Conformity of the digital service

Consumers benefit from the statutory guarantees applicable to digital content and services. In the event of a lack of conformity, they may request the remedies provided by consumer law, including bringing the service into conformity and, where the legal requirements are met, a price reduction or termination of the contract.

12. Complaints

Any complaint must first be sent to Band Maker Pro at contact@bandmakerpro.com or by post to the address stated in Article 1. Band Maker Pro will endeavour to respond within a reasonable time.

13. Consumer mediation

After a prior written complaint that has not resulted in a satisfactory resolution, the consumer may refer the matter free of charge to the consumer mediator appointed by Band Maker Pro:

Mediation is optional and does not deprive the consumer of the right to bring proceedings before a court.

14. Liability and force majeure

Band Maker Pro is liable for the performance of its obligations in accordance with the law. Its liability cannot be excluded in relation to mandatory guarantees or liabilities.

Band Maker Pro shall not be liable for a failure caused by an event recognised as force majeure under French law, or by the actions of users or third-party services where those actions are not attributable to Band Maker Pro.

15. Personal data

The data required for orders, payments and subscription management are processed in accordance with the Privacy Policy. Accounting obligations may require certain documents to be retained after an account has been closed.

16. Changes to the Terms of Sale

The Terms of Sale applicable are those accepted when the subscription is taken out, subject to legally applicable changes. Any material change affecting a future renewal will be communicated before it takes effect. Consumers retain any cancellation rights provided by law.

17. Language, governing law and jurisdiction

These terms are drafted in French and may be offered in several languages to facilitate understanding. If there is any discrepancy in interpretation, the French version shall prevail, subject to any mandatory provisions applicable to consumers, including those of their country of habitual residence where applicable.

These Terms of Sale are governed by French law. In the event of a dispute, mandatory rules concerning territorial jurisdiction and consumer protection remain applicable.
